What Happened?

Shares of internet, cable TV, and phone provider Cable One (NYSE:CABO) jumped 8.8% in the afternoon session after investors continued to buy the shares on the company’s agreement in principle to refinance $2.45 billion of obligations and its statement that it does not have to complete the Mega Broadband acquisition while legal restraints persist. According to the company’s press release, the terms are with GTCR, some existing lenders, and a group of private lenders. The package would extend and shrink the revolving credit facility, settle the put on the remaining Mega Broadband stake, and pay off the B-4 term loan. Together those steps would cover $2.45 billion of current obligations and the nearest debt maturities, and leave cash to invest in the business. No definitive financing agreements have been signed. On Oct. 9, a federal court in the Southern District of New York issued a temporary restraining order, brought by lender CoBank, that blocks Cable One from buying the 55% of Mega Broadband it does not own. CoBank claims paying the purchase price would be a constructive fraudulent transfer. Cable One said it believes the claim is wrong and will contest it. Under the purchase agreement, the company does not have to close while a legal restraint is in place, and the refinancing itself depends on that order being resolved.

The shares closed the day at $11.82, up 2.3% from the previous close.

What Is The Market Telling Us

Cable One’s shares are extremely volatile and have had 93 moves greater than 5% over the last year. In that context, today’s move indicates the market considers this news meaningful but not something that would fundamentally change its perception of the business.

The previous big move we wrote about was 8 days ago when the stock dropped 8.1% on the news that the company extended the deadline to purchase the remaining 55% stake in Mega Broadband Investments Holdings to October 9, 2026, while navigating financing discussions for upcoming capital needs. According to a company announcement, Cable One entered advanced discussions with private equity firm GTCR, existing lenders, and a consortium of private lending institutions regarding financing arrangements. The company noted that no definitive agreements have been reached. Cable One also disclosed that financing discussions and confidentiality arrangements with certain other potential investors have ended, prompting the postponement of the expected closing date from October 1, 2026. Market participants appeared concerned by the unresolved funding requirements and the risk of unfavorable financing terms needed to finalize the buyout. The termination of discussions with certain potential funding partners adds friction to the transaction timeline, dampening investor sentiment.

Cable One is down 88.5% since the beginning of the year, and at $12.02 per share, it is trading 92.8% below its 52-week high of $166.73 from October 2025. Investors who bought $1,000 worth of Cable One’s shares 5 years ago would now be looking at only $6.93.
